24bit provides custom software development, web development, mobile application development, and digital marketing services to businesses and individuals.
Project Scope
All projects begin with a detailed scope document that outlines:
- Project requirements and specifications
- Deliverables and timeline
- Payment terms and schedule
- Responsibilities of both parties
3. Payment Terms
Payment Schedule
- Small Projects (Under ₹50,000): 50% upfront, 50% on completion
- Medium Projects (₹50,000 - ₹2,00,000): 40% upfront, 30% at milestone, 30% on completion
- Large Projects (Over ₹2,00,000): Custom payment schedule based on milestones
Payment Methods
We accept payments via bank transfer, UPI, and other digital payment methods. International clients can pay via PayPal or wire transfer.
Late Payments
Late payments may result in project suspension until payment is received. Interest may be charged on overdue amounts as per Indian law.
4. Project Delivery and Timelines
Delivery Commitment
We commit to delivering projects within the agreed timeline. Delays may occur due to:
- Changes in project scope requested by client
- Delayed feedback or approvals from client
- Technical challenges requiring additional research
- Force majeure events
Client Responsibilities
Timely delivery requires client cooperation including:
- Providing necessary content, assets, and access
- Timely feedback and approvals
- Clear communication of requirements
- Payment as per agreed schedule
5. Intellectual Property Rights
Client Ownership
Upon full payment, clients receive full ownership rights to:
- Custom code developed specifically for the project
- Design assets created for the project
- Content created for the project
Third-Party Components
Projects may include third-party libraries, frameworks, or assets that remain under their respective licenses. We ensure all third-party components are properly licensed for commercial use.
24bit Rights
We reserve the right to:
- Use projects as portfolio examples (with client consent)
- Retain and reuse general methodologies and techniques
- Use non-confidential learnings for future projects
6. Confidentiality and NDAs
We treat all client information as confidential. For sensitive projects, we're happy to sign Non-Disclosure Agreements (NDAs) before project commencement.
Information Protection
We protect client information through:
- Secure development environments
- Limited access to project data
- Regular security audits
- Secure communication channels
7. Warranties and Support
Quality Guarantee
We guarantee that delivered software will:
- Meet the agreed specifications
- Be free from major bugs at delivery
- Function as designed and documented
Support Period
- Bug Fixes: 30 days free bug fixes after delivery
- Minor Updates: 3 months of minor updates included
- Major Changes: Quoted separately after support period
Warranty Limitations
Warranties do not cover:
- Issues caused by client modifications
- Third-party service failures
- Changes in external APIs or platforms
- Hardware or infrastructure failures
8. Limitation of Liability
Our liability is limited to the total amount paid for the specific project. We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Third-party claims or damages
- Force majeure events
Client Indemnification
Clients agree to indemnify 24bit against claims arising from:
- Client-provided content or materials
- Misuse of delivered software
- Violation of third-party rights
- Non-compliance with applicable laws
9. Cancellation and Refunds
Client Cancellation
Clients may cancel projects with written notice. Refunds are calculated as:
- Work completed and delivered is non-refundable
- Work in progress is charged pro-rata
- Unused payments for future milestones are refundable
24bit Cancellation
We may terminate projects due to:
- Non-payment after 15 days of due date
- Scope changes exceeding 50% of original project
- Abusive or unprofessional client behavior
- Legal or ethical concerns
10. Force Majeure
We are not liable for delays or failures due to circumstances beyond our control, including but not limited to:
- Natural disasters or pandemics
- Government actions or regulations
- Internet or infrastructure failures
- Third-party service outages
11. Dispute Resolution
Communication First
We believe most disputes can be resolved through open communication. We encourage clients to contact us directly with any concerns.
Mediation and Arbitration
If direct resolution fails, disputes will be resolved through:
- Mediation by a mutually agreed mediator
- Binding arbitration if mediation fails
- Court proceedings as a last resort
12. Governing Law
These terms are governed by the laws of India. Any legal proceedings will be conducted in the courts of Rajkot, Gujarat, India.
13. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Existing projects will continue under the terms agreed at project commencement.
